1. Agreement to Terms

By accessing or using any services provided by Syntra Financial LLC DBA Veyri Labs ("Veyri Labs," "we," "us," or "our"), including our CRM platform, website, and related tools, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

2. Description of Services

Veyri Labs provides a white-labeled CRM and business automation platform built for home service businesses, including but not limited to cleaning companies, HVAC, plumbing, and landscaping. Our services include contact management, booking, invoicing, SMS/email automation, AI chat, and reporting tools.

3. Account Registration

You must provide accurate, current, and complete information when registering for an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@veyrilabs.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to use Veyri Labs to:

• Send unsolicited communications (spam) to any person
• Violate any applicable law or regulation, including the TCPA, CAN-SPAM Act, or GDPR
• Transmit any content that is unlawful, harmful, defamatory, or fraudulent
• Attempt to reverse-engineer, hack, or compromise our systems
• Resell or sublicense our services without written permission

5. SMS Communications & TCPA Compliance

Important — please read carefully.

By using our SMS features, you represent and warrant that you have obtained proper written or electronic consent from each contact before sending any text message. You agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and the FCC's regulations on automated text messages.

Veyri Labs processes SMS on behalf of our clients. Each client is solely responsible for ensuring proper consent and compliance with applicable messaging laws.

6. Payment Terms

Subscription fees are billed monthly in advance. All fees are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

7. Intellectual Property

All content, software, trademarks, and materials made available through Veyri Labs are owned by or licensed to Syntra Financial LLC. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Data & Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for the data you upload, import, or collect through our platform and for obtaining appropriate consents from your own customers.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, Syntra Financial LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you shall not exceed the amount you paid us in the three months preceding the claim.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to access the services ceases and we may delete your data after a reasonable retention period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Charleston County, South Carolina.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice in our platform. Continued use of our services after changes become effective constitutes your acceptance of the revised Terms.

14. SMS Program Description

Syntra Financial LLC DBA Veyri Labs operates an SMS messaging program for marketing and transactional communications. Message types include: promotional offers, appointment reminders, and service updates.

This SMS program is intended for individuals 18 years of age or older. By opting in, you confirm you are at least 18 years of age.

15. Carrier Liability

Syntra Financial LLC DBA Veyri Labs is not liable for delayed or undelivered messages. Carrier message and data rates may apply. Contact your carrier for details.
